Welcome to BeachBaskit ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the BeachBaskit mobile application, website, and any features, content, communications (including in-app chat), and services we make available through them (collectively, the "Services"). By creating an account, accessing, or using the Services, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By registering, you represent and warrant that you meet these requirements and that you are legally permitted to enter into these Terms. Sellers represent that they are legally permitted to sell items they list via the Services.
2. Account Registration & Security
Certain features require an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You may not sell, transfer, or share your account.
3. User Verification
We may request or implement email, phone, payment method, or identity verification to help reduce fraud and abuse. We do not guarantee the identity or accuracy of information provided by Users and disclaim any responsibility for misrepresentations by Users.
4. Role of BeachBaskit
BeachBaskit operates a neutral platform that facilitates matches between buyers and sellers based on predefined item categories, quantities, location parameters, and time windows. We are not a party to transactions, do not take title to any items, do not manufacture, store, or inspect items, and do not guarantee item quality, safety, legality, or availability. Users are solely responsible for their listings, transactions, and interactions.
Automation Notice. Certain actions on the Services may occur automatically based on predefined rules (e.g., match expiry after inactivity, auto-confirmation windows, or soft penalty scoring related to repeated late cancellations). Automation supports reliability and safety but does not make us a party to any transaction.
Item Condition & No Inspection. BeachBaskit does not inspect, test, certify, repair, or maintain any items exchanged through the Services. All items are provided by sellers on an "AS IS" and "AS AVAILABLE" basis. Sellers are solely responsible for the condition, safety, legality, and suitability of the items they provide. Buyers are solely responsible for inspecting items prior to accepting or confirming a transaction.
5. Permitted Listings & Content
- Only items within categories we designate (e.g., beach umbrellas, beach chairs, beach toys) may be listed. We may modify permitted categories at any time.
- Prohibited items include illegal or regulated goods, dangerous items, alcohol, tobacco, weapons, counterfeit or infringing goods, or any item we classify as prohibited.
- We may remove content or suspend accounts at our sole discretion for violations, suspected fraud, or risk mitigation.
- Users are responsible for complying with all applicable laws, taxes, and regulatory requirements related to their listings and sales.
6. Geographic Restrictions
The Services are currently available only in limited service areas (e.g., Miami Beach, Florida) and may expand or contract over time. The Services are intended for use in the United States. You agree not to use the Services in regions where they are not supported.
7. Transactions & Payments
- Payments are processed by third-party payment processors (e.g., Stripe, Inc.). By transacting, you agree to their terms and policies. We may charge a platform fee on each transaction.
- Buyers authorize us and our processors to place holds, capture, and settle charges to facilitate transactions, refunds, disputes, or cancellations.
- Sellers authorize us and our processors to hold or delay payouts pending dispute windows or risk checks, and acknowledge that settlement timing depends on processor and banking networks.
- You agree that taxes, duties, or other government charges associated with your transactions are your responsibility unless we explicitly state otherwise.
8. No Off-Platform Transactions
All consideration for items listed through the Services must be paid through the Services. Off-platform transactions are prohibited and are undertaken solely at the User's risk. We disclaim responsibility for any losses, injuries, or disputes arising from off-platform activity.
9. Refunds & Disputes
- Dispute eligibility, timing, and reasons are defined by our policies. We may request information (e.g., photos, chat logs) and will decide outcomes at our sole discretion.
- Refunds are subject to processor rules and timelines and may include or exclude platform fees and applicable taxes per our policies.
- Our decision on disputes is final within the platform. This clause does not waive any non-waivable consumer rights under applicable law.
- Confirmation & Inspection. By confirming a transaction, the buyer acknowledges they had the opportunity to inspect the items at handoff and accepts them as received, subject to the dispute eligibility rules in these Terms and any non-waivable rights under applicable law.
10. Cancellations
Cancellation windows and consequences are described in our policies. We may maintain cancellation logs to mitigate abuse and may limit access, delay payouts, or suspend accounts based on cancellation history or risk, including repeated last-minute cancellations.
11. User Conduct
- No harassment, threats, discrimination, unlawful activity, or fraud.
- No attempts to circumvent the Services, fees, or security controls.
- No posting or sharing of personal contact details in chat (e.g., phone numbers, emails, addresses) to move transactions off-platform.
- Comply with all meet-up best practices and applicable local laws; exercise reasonable precautions during in-person exchanges.
Meet-Up Safety. You acknowledge that in-person meetups and the use of items obtained through the Services are undertaken at your own risk. BeachBaskit does not supervise meetups, inspect items, or control user conduct. To the fullest extent permitted by law, you release BeachBaskit from liability for physical injury, property damage, or losses arising from item condition, item use, or in-person exchanges between Users.
Platform Assistance. BeachBaskit may, but is not obligated to, facilitate dispute resolution related to payments, cancellations, or transaction outcomes through the Services. Such assistance does not constitute inspection, certification, or acceptance of responsibility for item condition, safety, or user conduct.
12. Chat Functionality
In-app chat is provided solely to coordinate matched transactions within a defined time window. We may access and retain chat content for safety, compliance, and dispute resolution consistent with our Privacy Policy.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACHBASKIT DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BEACHBASKIT DOES NOT INSPECT, TEST, CERTIFY, MAINTAIN, STORE, TRANSPORT, REPAIR, OR MODIFY ANY ITEMS EXCHANGED THROUGH THE SERVICES. ALL ITEMS ARE PROVIDED SOLELY BY SELLERS. BUYERS ARE SOLELY RESPONSIBLE FOR INSPECTING ITEMS PRIOR TO USE AND PRIOR TO CONFIRMING A TRANSACTION.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACHBASKIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, ANY ITEMS LISTED OR OBTAINED THROUGH THE SERVICES, IN-PERSON MEETUPS, OR THE ACTS OR OMISSIONS OF OTHER USERS. IN NO EVENT SHALL BEACHBASKIT'S AGGREGATE LIABILITY EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO BEACHBASKIT DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless BeachBaskit and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your items, listings, or transactions; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of third-party rights.
16. Intellectual Property
All BeachBaskit trademarks, logos, designs, text, graphics, software, and other materials provided via the Services are owned by or licensed to us and are protected by intellectual property laws. Users retain ownership of content they submit but grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, display, and distribute such content for operating and improving the Services.
17. Suspension & Termination
We may suspend or terminate access to the Services at our discretion for violations, fraud, risk, or legal compliance. We may also suspend or terminate accounts based on credible reports of inappropriate behavior, repeated cancellations, or conduct that negatively affects other users. Upon termination, provisions that by their nature should survive (e.g., limitations of liability, indemnification, IP, governing law) shall survive.
18. Data & Privacy
Use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal and location data. By using the Services, you consent to the practices described therein.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Colorado shall have exclusive jurisdiction over any action arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts.
20. Force Majeure
We are not liable for delays or failures to perform due to events beyond our reasonable control, including acts of God, weather events, natural disasters, labor disputes, government actions, telecommunications or Internet failures, third-party service interruptions, or power outages.
21. Third-Party Services
The Services may integrate or interoperate with third-party platforms and providers (e.g., Stripe, Firebase, Apple, Google). We do not control and are not responsible for such third parties, their availability, or their terms and policies. Your use of third-party services is governed by their separate terms.
22. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on the Services, and the "Effective Date" will be revised. Your continued use of the Services after the Effective Date constitutes acceptance of the updated Terms.
